LAiR First Look — End User Licence Agreement
This agreement ("EULA") is between LANSA Inc. ("LANSA", "we") and the individual and the organisation they represent ("you") who registers for the LAiR First Look service ("Service"). By ticking the acceptance box on the registration form and submitting it, you accept the terms set out here.
1. Service scope
The Service performs an automated read-only analysis of a Git repository you nominate. LANSA reads files via the Git host's REST API on demand; we do not clone, upload, or persist a copy of your source code on LANSA infrastructure.
2. Your authority to share the code
You represent and warrant that you are authorised by the owner of the repository to grant LANSA read access to its contents for the purpose of this analysis, and that doing so does not breach any third-party agreement, intellectual-property right, or applicable law. You will not submit code you are not entitled to share.
3. Consent to analyse the entire repository
You consent to LANSA performing the First Look analysis across the whole of the repository you connect, including all branches, files and history reachable through the chosen reference. The analysis output (the curated dashboard) is made available to you in your LAiR account.
4. Confidentiality of LAiR information
All information you receive about LAiR — including its features, prompts, prompt-engineering techniques, performance characteristics, internal scoring, dashboards, generated outputs and any non-public roadmap details ("LAiR Confidential Information") — is disclosed to you in confidence. You will use LAiR Confidential Information solely to evaluate the Service, will not disclose it to any third party, and will not publish, benchmark, reverse-engineer, or create derivative works based on it without LANSA's prior written consent.
5. Your data
LANSA will treat metadata, analysis results, semantic summaries, and any code excerpts read from your repository as your confidential information, used only to deliver and improve the Service, and stored solely on infrastructure under LANSA's control. We will not share your code or analysis output with any other LAiR customer.
6. Intellectual property
LANSA retains all right, title and interest in LAiR, its models, prompts, code, dashboards, documentation, and any improvements derived from operating the Service. You retain all right, title and interest in your source code. No licence to LAiR is granted other than the limited evaluation licence in clause 7.
7. Limited evaluation licence
LANSA grants you a non-exclusive, non-transferable, revocable, royalty-free licence to access the Service for internal evaluation purposes during the First Look period. You may not resell, sublicense, or provide the Service to third parties.
8. No warranty
The Service is provided "as is", without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy of analysis output, or non-infringement. Analysis output is advisory; you are responsible for any decisions you take in reliance on it.
9. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, consequential, special or exemplary damages arising out of or related to the Service. LANSA's total aggregate liability under this EULA will not exceed AUD $100.
10. Term and termination
This EULA takes effect when you submit the registration form and continues until terminated by either party on written notice. The confidentiality obligations in clauses 4 and 5 survive termination indefinitely.
11. Governing law
This EULA is governed by the laws of New South Wales, Australia, and the parties submit to the exclusive jurisdiction of the courts of that state.
